Moscow, 7 May 2024 – X5 Corporate Centre LLC (“X5 LLC”), the Russian subsidiary of X5 Retail Group N.V. which operates the Pyaterochka, Perekrestok and Chizhik retail chains, announces that the corporate website https://www.x5.ru will be used as the official website of X5 LLC.
The change comes after the Arbitration Court of the Moscow Region (the “Court”) satisfied a claim brought by the Ministry of Industry and Trade of the Russian Federation to suspend the corporate rights of X5 Retail Group N.V. in its Russian subsidiary. The claim was brought under the Russian Federal Law No. 470-FZ of 4 August 2023 (the “Law”).
It is understood that X5 Retail Group N.V. will make its regulatory and other disclosures at the website https://www.x5.com.
Following the Court decision, major shareholder notifications from X5 LLC will be posted in English and in Russian on the website https://www.x5.ru. X5 LLC will also release major shareholder notifications via the Interfax platform at https://e-disclosure.ru/portal/company.aspx?id=39008. These platforms will become the main channels of communication.
In line with the above, X5 LLC will in the coming days release a guideline for Russian and non-Russian holders and beneficiaries of X5 Retail Group N.V. depositary receipts who will be required to, or will have the option to, take direct ownership of shares in X5 LLC under the procedures of the Law.
X5 LLC is committed to notifying all shareholders in a timely and transparent manner about the further course of the implementation of the Law.
