Amsterdam, 30 June 2022 – X5 Retail Group N.V. (“X5” or the “Company”, LSE and MOEX ticker: FIVE), a leading Russian food retailer that operates the Pyaterochka, Perekrestok and Chizhik retail chains, today held its Annual General Meeting of Shareholders (the ‘AGM’).
Shareholders and holders of global depository receipts adopted all proposals on the agenda, including in particular:
- 2021 Financial Statements without the independent auditor’s report [1];
- Appointment of Ekaterina Lobacheva as member of the Management Board;
- Appointment of Olga Vysotskaya, Fedor Ovchinnikov and Vadim Zingman as members of the Supervisory Board.
Furthermore, in order to allow more time for the external auditor selection and appointment process, the authority to appoint an external auditor for the financial year 2022 was delegated to the Supervisory Board. [1] As announced on 29 June, the Company has been engaged in ongoing efforts to obtain the external auditor’s report on its financial statements. The Company aims to issue its 2021 consolidated financial statements before the end of July 2022, together with an external auditor’s report from TSATR Audit Services LLC (formerly Ernst & Young LLC, Russia, which will operate under the B1 brand going forward), once its separation from the EY global network is completed.
